As Associate Counsel, you'll hold a vital role in our organization, providing strategic legal advice and services that support our business objectives while mitigating legal risks. Qualifications

Associate Counsel Responsibilities & Duties

  • Draft and review contracts, agreements, and other legal documents

  • Advise on corporate governance and compliance matters

  • Monitor and ensure regulatory compliance across all business operations

  • Provide legal support for mergers and acquisitions, including due diligence and negotiation

  • Oversee litigation to protect the company's legal interests

  • Conduct legal research and stay updated on legislation and case laws relevant to the business

  • Collaborate with external legal counsel when necessary

  • Develop and implement internal policies and procedures to manage the company’s risk

  • Provide training and workshops on legal issues for staff

  • Assist in intellectual property management and protection

  • Provide RFP, sam.gov, and other commercial and government business support   

 

Corporate Counsel Qualifications & Skills

  • Corporate transactional experience

  • Corporate secretary

  • Experience with government contracting and regulations including FAR

  • Proven track record in managing complex legal projects

  • Experience with international law and cross-border transactions

  • Strong negotiation skills

  • Membership in relevant professional organizations

  • Juris Doctor (JD) degree from an accredited law school

  • Admission to the state bar and in good standing

  • Minimum of 5 years of experience in corporate law or related field

  • Strong understanding of corporate governance and regulatory compliance

  • Excellent analytical and problem-solving skills

  • Ability to communicate complex legal concepts clearly and concisely

  • Strong interpersonal and teamwork skills

  • Proficiency in legal research tools and software

  • Attention to detail and strong organizational skills

  • Ability to work under pressure and handle multiple priorities
